International Dancehall star Mavado landed in Grand Cayman and and perform at summer’s main event MERGE on July 10th at Lions Community Center.

Wal-Mart Shareholder case sets a proxy precedent

On Monday a three-judge panel of the U.S. Court of Appeals for the Third Circuit gave Wal-Mart Stores Inc. a win against shareholders concerned about the company’s sales of assault rifles, ruling that Wal-Mart can refuse to put to a vote a proposal calling for firmer board oversight of gun sales.

Trinity Wall Street, New York City’s historic Episcopal parish and an owner of Wal-Mart stock, went to court last year calling for the company to allow shareholders to vote on whether the board should apply standards around decisions to sell rifles with high-capacity magazines and other products that could endanger public safety and the company’s reputation. Though the federal appeals court decided the proposal interfered with the company’s “ordinary business operations,” the ruling focused on questions around corporate governance and investor involvement with hot-button issues.

Theodore Boutrous Jr., an attorney with Gibson, Dunn & Crutcher who represented Wal-Mart in the case, said the court’s decision addressed issues that boards of directors, corporate secretaries and officers of companies often grapple with in regard to striking a balance between the voice of shareholders and the prerogatives of management.

“The ruling makes it clear that shareholders seeking to intrude on the nitty-gritty, day-to-day business operations is excludable,” he said. “That is very important from a corporate governance perspective.”

Boutrous also noted various other ways shareholders could express their views, including the option of voting for different directors and sending out their own proxy materials.

He added, “I think the use of shareholder proposals simply to get across a social viewpoint or political point diverges from a company’s business and what management should be focusing on. Wal-Mart, like any other company, has a structure on its board to address social policy issues, safety and the like.”

Wal-Mart had argued that Trinity’s proposal conflicted with U.S. Securities and Exchange Commission guidance on proxy questions.

Joel Friedlander, an attorney for Trinity, did not immediately respond to requests for comment, but CorpCounsel.com received this statement from Trinity: “While agreeing that Trinity raised an important social policy issue, we are disappointed that the majority nonetheless accepted Wal-Mart’s argument,” said Rev. Historic Macedo World health 1992 Award donated to Cayman Islands museum

iNews B _Kumar DonationThe Cayman Islands National Museum recently accepted a donation from retiring Medical Officer of Health, Dr. Kiran Kumar who on World Health Day 7 April, 1992, attended a World Health Organisation meeting in Barbados during which Cayman’s health promotion programme, ‘Heartbeat Cayman’ was recognized by the award of the Macedo World Health Day Award. The award was a significant achievement for the Cayman Islands and to its unique approach dedicated to the prevention of cardiovascular disease.

The plaque’s inscription reads: American Association for World Health, 1992, Macedo World Health Award presented to Heartbeat Cayman A Health Promotion Programme of the Cayman Islands in recognition of its unique approach dedicated to the prevention of cardiovascular disease.

Dr. Kumar collected the award from Ministry of Health, Permanent Secretary, Andrea Bryan in 1995.

Kleinwort Benson Investors unveils small cap fund

Kleinwort Benson Investors (KBI) has launched a small cap fund, which has been seeded with €45 million (£32 million) by an unnamed global multi-manager.

The Kleinwort Benson Investors Global Small Cap fund will be run by KBI’s global equity team, fronted by head of strategy development David Hogarty (pictured).

Hogarty is supported by head of portfolio management Gareth Maher and portfolio managers Ian Madden, James Collery, John Looby and Massimiliano Tondi.

With a management charge of 1%, the fund does not have a set return target.

Cohesion Investments, headed by Spike Hughes, will be the exclusive distributor for the fund in the UK mutual funds marketplace.

Holding around 360 stocks, the fund will invest within the MSCI Small Cap universe and focus on developed markets.

KBI chief investment officer Noel O’Halloran said the fund will seek to exploit profit surprises and dividend growth found in small caps.

‘Our systematic and rules based approach is helpful when dealing with such a large universe of stocks, particularly as the intra-market stock dispersions are also higher,’ said O’Halloran.

‘Given the inefficiencies we have identified, these portfolios display a better equilibrium between pay-out, reinvestment and growth.

‘Encouragingly, we find the active share of our Small Cap portfolios is typically 10% to 15% higher when compared to their broad market counterparts.’

Jersey to seek views on virtual currency regulation

The Government of Jersey is asking for views on how virtual currencies, such as Bitcoin, should be regulated.

The consultation paper sets out the most prominent money laundering and terrorist financing risks associated with virtual currencies and the options that are available for regulating them. The approaches adopted by other jurisdictions and the views of leading organisations have also been taken into account. The consultation paper also considers whether there is a case for adopting a standard for ‘distributed ledger’ technology (including block-chain technology) and the possibility of potential future pan-Channel Island work in this area.

The Jersey Financial Services Commission, the Joint Financial Crime Unit of the States of Jersey Police, the Law Officers’ Department, Jersey Finance and Digital Jersey have all been involved in the preparation of the consultation.

Assistant Chief Minister, Senator Philip Ozouf, said: “Virtual currency systems represent new and empowering technology. This consultation will allow us to take into account a wide range of views when putting in place an appropriate and proportionate regulatory environment. This is about creating a modern digital economy that encourages innovation and the creation of jobs and growth whilst protecting Jersey from the unacceptable use of virtual currency.”

The consultation will run from 9 July 2015 to 7 August 2015 and will include a consultation seminar to be held at the Town Hall, York Street, St Helier, Jersey on Monday 3 August 2015 from 12 noon until 2pm. Following its 40th anniversary meeting this year in New Orleans, the connections to Haiti are historically resonant since the Haitian Revolution is identified as creating the conditions for the Louisiana Purchase.

CSA Conferences have been held all over the Caribbean but will go to Haiti for the first time. The conferences promises to be an exciting meeting of scholars from all disciplines and will also highlight its film, visual arts and performance tracks. Professor Jana Braziel and Nicasio Urbina are writing to propose a special issue ofCincinnati Romance Review (slated for publication in spring 2016) devoted to the theme of Circum-Caribbean Poetics. The special issue will foreground poetry and literary prose written by Afro-Caribbean writers from the anglophone, francophone, and hispanophone countries in the Caribbean archipelago, and by Afro-Central American writers from Nicaragua, Belize, Honduras, Costa Rica, Guatemala, and Panamá. The special issue will include scholarly and critical essays as well as poems, short stories, and literary nonfiction. The purpose of the special issue is to contextualize Circum-Caribbean and Central American poetics through the historical lenses of slavery, migration, independence, ethnicity and racial difference, polylinguistic play, and contemporary transcultural exchanges in the archipelago and circum-sea region. The special issue will open new spaces—literary, diasporic, and circum-regional—for cross-fertilization in the Americas: it will uniquely examine the multifarious literatures of the Caribbean islands and the Central American countries in comparative relationship (an exercise that is novel); and it will comparatively examine the literatures and poetics of African diasporic writers from across the Caribbean sea, from archipelagic and continental countries in the region.

Eastern Caribbean delegations attend GHLI Forum for Change

Non-communicable diseases continue to be a growing health issue among Eastern Caribbean countries. In an effort to help address diseases such as obesity and diabetes, the Global Health Leadership Institute (GHLI) is hosting delegations from four countries that are part of the Eastern Caribbean Health Outcomes Research Network (ECHORN) at the GHLI Forum for Change from July 6-10 on campus.

US/Cuba tourism prospects a challenge for the English-speaking Caribbean

As bilateral relations between Washington and Havana move inexorably closer to normalization, intra-regional discourse on the likely impact of closer ties between the once implacable foes on relations, and particularly economic ties between the United States and the English-speaking Caribbean is heating up in the region.

Much of the discourse is centred around the anticipated boom in tourist travel from the US to Cuba and the likely impact of this on the Caribbean Community’s North American tourism market.

Regional tourist destinations having contemplated the issue for months on end, the Barbados-based Caribbean Hotel and Tourism Association (CHTA) finally issued a White Paper towards the end of June articulating its thoughts on the subject.

Evidently concerned over the likely implications for the tourism-dependent Caricom countries of increased tourist traffic between the US and Havana, the White Paper is advocating the creation of a partnership with the US; a Caribbean Basin Tourism Initiative, modelled after the Caribbean Basin Initiative of almost four decades ago and designed to boost investment in tourism and travel to the English-speaking Caribbean.

The CHTA White Paper is careful not to display any animosity to the prospects of Cuba securing a bigger share of the US tourist market, but it nonetheless makes clear its concern that the further relaxation of travel to Cuba for Americans could be the biggest and most disruptive pebble to be dropped into the Caribbean pool in 50 years.

Granger dividing Caribbean, says Maduro

Venezuelan President Nicolas Maduro has taken a swipe at his Guyanese counterpart, David Granger, as the border dispute between the two countries escalates.

The long-running row came to a head in May after Maduro issued a decree laying claim to all the Atlantic waters off the Essequibo coast, and the matter was among the top agenda items at the recent Caribbean Community (CARICOM) Heads of Government summit.

Maduro has since withdrawn the decree and replaced it with a new declaration.

In an interview today with the Venezuelan television news channel, TeleSUR, he maintained his position that the area belonged to Venezuela, and accused Granger of dividing the Caribbean and disregarding international law.

“We regret deeply in Latin America and the Caribbean that in Guyana, Mr Granger, the newly elected president has come to provoke Venezuela. He is an agent provocateur. His objective is to divide the Caribbean.

“I do not think he represents the Latin American and Caribbean conscience or the interest of the Guyanese people. He has come to ignore international law, the mechanism to resolve conflict through dialogue, and try to impose a position that totally ignores history, reality, and international law as a whole,” Maduro said through an interpreter.

Earlier this week Venezuela announced it would review of its relations with Guyana, and recalled its ambassador in Georgetown.

Guyanese Finance Minister Winston Jordan announced that Caracas has also decided to stop purchasing Guyanense rice, and would instead source its supplies from other countries, including Suriname.

(Universiade) Caribbean athlete receives SK scholarship

GWANGJU, July 10 (Yonhap) — A Caribbean sprinter who became the talk of the town at this Universiade for running in worn shoes has been named one of the recipients of a South Korean company scholarship, an official said Friday.

Fallon Forde from Barbados has won the SK Happiness Scholarship, a special program run by SK C&C, a South Korean IT services provider, an SK C&C official said on condition of anonymity.

It is designed to award student-athletes who have overcome hardship and demonstrated true sportsmanship at the competition.

The other winners will be announced at a formal event on Monday at Kim Dae-jung Convention Center in Gwangju, the host city of the competition some 330 kilometers south of Seoul. The total prize is 50 million won (US$44,000).

Forde competed in shoes donated by a friend in the 100-meter and 200-meter sprinting events at this Universiade.

The 25-year-old failed to reach the finals for both but recorded his season best of 21.46 seconds in the 200m on Thursday.

He started sprinting at the late age of 19, but demonstrated potential by leading his Barbados team to fourth place in the men’s 4x200m relay at IAAF World Relays 2014.

He almost missed competing in this Universiade after his left shoe ripped down the middle during training just five days before his first race.

The official Adidas store here had told him it would take seven days to repair, but a local seamstress his attache discovered was able to close the hole in a matter of hours.

Forde’s story has made the headlines of a couple of South Korean newspapers since the Universiade kicked off last Friday.

His next plan is to prepare for the Barbados national team trials to compete at the Olympics scheduled for next year in Rio de Janeiro, Brazil.

Dwayne Bravo creates history

West Indies all-rounder Dwayne Bravo created history when he became both the first Trinidad and Tobago national and first ever cricketer to be nominated in any category in the prestigious ESPY Awards in the USA.

In the “Best Play” category that also features 2015 NBA MVP Stephen Curry and Ballon D’Or winner Lionel Messi. Bravo was nominated for his stunning one hand catch for the Chennai Super Kings against the Rajasthan Royals during the final of the recently completed Indian Premier League.

This is the first time that any cricketer from any country in the world has been nominated for the American Award, often referred to as the “Oscars of Sports.”

“Beat Play” features stiff competition, with 16 nominees split into eight brackets or match ups.

Bravo needs to get more votes than a “Hail Mary” play from the Bahamas Bowl before he moves into the next round.

On his nomination Bravo said: “I admit I am still shocked on many levels. Firstly I am shocked and happy that cricket is being recognized by the American market on their biggest and most prestigious night in sport.”

The voting period is now open and fans are encouraged to visit the ESPYs website to cast their vote for Bravo. The ESPYs take place on July 15 in Los Angeles.

The event also discussed the identification of funding sources to support the scientific development and tasks, and some tasks were distributed among the members of the working group, Dr. Abel Centella, director of the Institute of Meteorology of Cuba, told Prensa Latina.

The group is also comprised by the Climate Change Center of the Caribbean Community, representatives of the University of the West Indies, in Jamaica and Barbados, the Institute of Meteorology and Hydrology of the Caribbean, as well as universities of Suriname, Trinidad and Tobago, among others.

The Caribbean Climate Modeling Group is working in coordination with the science of climate change to try to provide the region a lot of information about this important issue based on scientific results, Dr. Centella said. The previous meeting took place in Barbados in 2014.

Eastern Caribbean delegations attend GHLI Forum for Change

Non-communicable diseases continue to be a growing health issue among Eastern Caribbean countries. In an effort to help address diseases such as obesity and diabetes, the Global Health Leadership Institute (GHLI) is hosting delegations from four countries that are part of the Eastern Caribbean Health Outcomes Research Network (ECHORN) at the GHLI Forum for Change from July 6-10 on campus.

Senior leadership from government, academic institutions, and nongovernmental organizations from the countries of Barbados, Puerto Rico, Trinidad and Tobago, and the U.S. Virgin Islands are at Yale focusing on identifying strategies to ensure the delivery of high quality care for people with non-communicable diseases in the Eastern Caribbean.

Russia warns its citizens that selfies could be fatal

It’s all fun and games until someone gets killed. That’s the message that Russia has for its citizens in regards to selfies, which have apparently put enough people in danger to warrant an official government warning.

As reported by CNET, Russia’s Ministry of the Interior held a press conference earlier this week in order to launch a new safety initiative prompted by the surprising number of deaths that have occurred as a result of careless selfie-taking. “We want to remind citizens that the pursuit of “likes” in social networks can lead to the road of death,” said spokesperson Elena Alekseeva.

The Ministry also released a pictorial guide to drive the point home, detailing several accidents that have been reported over the past several years. In one case, a 21-year-old shot himself while trying to take a selfie with a gun. In another, a child grabbed an exposed wire while attempting to take a selfie and electrocuted himself.

Many of the precautions might seem ridiculous, but the Associated Press reports that over 100 Russians have been injured and 10 have died while taking selfies this year alone. Russia isn’t the only country with distracted citizens, but the government is taking it upon itself to ensure that selfie fans stay safe.

Report: An NFL player lost 2 fingers lighting off fireworks

While the NFL world waits for an update on Jason Pierre-Paul’s status after he was injured lighting off fireworks over the holiday weekend, there are reports that Tampa Bay Buccaneers cornerback C.J. Wilson also suffered a serious hand injury in a fireworks accident.

Ryan Herman of Lincoln Times-News reports that sources close to Wilson’s family say Wilson lost two fingers lighting fireworks over the 4th of July weekend.

Roy Cummings of the Tampa Tribune first reported that Wilson had injured his hand, though the severity of it was unknown:
