Conyers advises on the RC Cayman Hotel refinancing of Grand Cayman Ritz-Carlton

RitzConyers Dill & Pearman has provided Cayman Islands advice to Cayman Hotel Holdings, a subsidiary of Five Mile Capital Partners (FMC), pertaining to the $130m (£80m) refinancing of the Ritz-Carlton Grand Cayman property.

FMC is an alternative investment and asset management company that specialises in investment opportunities in real estate, debt products, structured finance, asset-based lending and financial services private equity, with investments in major properties in the US and the Caribbean.

The transaction involved the refinancing of the Ritz-Carlton Grand Cayman property by its new owners. The transaction involved eight firms of attorneys representing the varied interests of the parties.

The Conyers team of lawyers was made up of Kevin Butler, the partner in charge, and Olivaire Watler, leading the advice, as well as Hilary Brooks, Tania Dons, Richard Fear and Jonathan McLean.

Conyers Dill & Pearman advises Kofax on corporate restructuring

Conyers Dill & Pearman has advised Kofax on a corporate restructuring by way of a scheme of arrangement under the UK Companies Act 2006 between Kofax and its shareholders, as sanctioned by the High Court of England and Wales.

The scheme resulted in the creation of a new Bermuda incorporated holding company, Kofax Ltd, for the Kofax Group and the introduction of its shares to the premium segment of the Official List and to trading on the main market of the London Stock Exchange.

In addition, Kofax Ltd made an initial public offering of its common shares on the NASDAQ global select market in the US.
