Acquisition Will Significantly Add to NRZ’s Book of Servicing Assets & Expand Relationships with Servicers

NEW YORK, NEW YORK AND GEORGE TOWN, GRAND CAYMAN–(BUSINESS WIRE)–New Residential Investment Corp. (NYSE:NRZ, “New Residential”, the “Company”) and Home Loan Servicing Solutions, Ltd. (NASDAQ: HLSS, “HLSS”) today announced a definitive agreement under which New Residential will acquire all of the outstanding shares of HLSS for $18.25 per share in cash, totaling approximately $1.3 billion. The purchase price represents a 9% premium to HLSS’ closing price of $16.76 on February 20, 2015.

The acquisition has been approved by the Board of Directors of each company and is expected to close in the second quarter of 2015, subject to HLSS shareholder approval and other customary closing conditions.

Advising New Residential on the acquisition were BofA Merrill Lynch and Credit Suisse as financial advisors and Skadden, Arps, Slate, Meagher & Flom LLP, Sidley Austin LLP, and Maples and Calder as legal advisors. Advising HLSS on the transaction was Citi as financial advisor and Weil, Gotshal & Manges LLP and Walkers as legal advisors.

Home Loan Servicing Says Deal Addresses ‘Uncertainty’ of Company’s Financing Obligations

Home Loan Servicing Solutions Ltd. has agreed to sell itself to the real-estate investment trust New Residential Investment Corp. for $1.3 billion, weeks after Home Loan was urged to cut ties with its affiliate Ocwen Financial Corp and become more independent.

The news sent Home Loan Servicing shares up 3.82% to $17.40 in premarket trading.

The $18.25-a-share deal, all in cash, represents an 8.9% premium on Home Loan Servicing’s closing price on Feb. 20.

Home Loan Servicing Chief Executive Jon Van Vlack said that the deal would address the “uncertainty associated with our future financing obligations.”

Earlier this month, Mangrove Partners Master Fund Ltd. had urged Home Loan Servicing to cut ties with embattled mortgage-servicing firm Ocwen Financial Corp., threatening to launch a campaign to replace Home Loan Servicing’s board at its annual meeting.

Home Loan Servicing Solutions Ltd. was started by an Ocwen Financial executive to acquire mortgage-servicing rights and other income from servicing mortgage loans. The company hired Ocwen Loan Servicing LLC to service the loans.

In a letter to Home Loan Servicing’s board, Mangrove said the company’s reliance on Ocwen has become a risk, especially as Ocwen has faced pressure from regulators on several fronts.

The deal is expected to close in the second year.

Overall, shares of Home Loan Servicing have been off about 14% this year through Friday’s close.
