Cayman: CDS AGM cancellation, classes temporarily closed

AGM – CANCELLATION

We regret to advise you that the CDS Annual General Meeting scheduled for Friday 20th March 2020 has been postponed until a later date in the CDS year – prior to September. Government regulations concerning coronavirus COVID-19 ban public meetings of 50 or more persons and any contravention can lead to a fine of CI$1,000 and/or six months in prison.

Our recent AGM’s have not reached a total of 50 persons attending since many members vote through proxy and others simply do not attend. However, that would be no guarantee that the AGM could go ahead since it is the absolute right of all members to attend in person.

One item which will be raised at the next AGM is the role of Theatre Manager/Deputy Chairman. In order to provide sustainability and succession it is necessary for the Deputy Chairman to replace the Chairman after the first or second year of “learning on the job”. This does not work for the role of Theatre Manager since it is difficult to fill that role. It is therefore necessary to amend the Memorandum and Articles to provide for both a Deputy Chairman and separately a Theatre Manager. Upon passing of the resolution to amend the Memo and Arts, ManCo, the Managing Committee, will be expanded to five members being Chairman, Deputy Chairman, Secretary, Treasurer and Theatre Manager. There will remain eight seats to fill to populate ExCo, the Executive Committee, up to its required level of 13 members.

While we await government relaxation of the rules or an AGM via the internet hosted by Megasol Technologies, we ask you to consider these amendments and let us have your constructive views.
