Royal Caribbean to pay $1 billion for a two-thirds stake in Silversea Cruises

By Tomi Kilgore From MarketWatch

Royal Caribbean Cruises Ltd. RCL, +2.70% said Thursday it was paying about $1 billion to acquire a 66.7% equity stake in privately held Silversea Cruises. Royal Caribbean plans to fund the deal with debt.

As part of the deal, Silversea Chairman Manfredi Lefebvre D’Ovidio will qualify for a contingent consideration of about 472,000 Royal Caribbean shares, payable on certain performance metrics from 2019 to 2020.

Based on Wednesday’s stock closing price of $107.98, the contingent could be worth $50.97 million.

Separately, Royal Caribbean affirmed its 2018 adjusted EPS guidance range of $8.70 to $8.90, but said increases in market fuel and dollar strength could reduce second-half net EPS by roughly 25 cents a share.

The stock, which was still inactive in premarket trade, had shed 14% over the past three months, while the S&P 500 SPX, +0.30% has gained 1%.

CAMANA BAY JUNE EVENTS

This June, Camana Bay has different activities and events for everyone in the family. If you are looking for a new book to add to your collection of reads, sign up for The Bookends Club on June 13 when the group meets to review their latest pick, The Motorcycle Diaries by Che Guevara. Books & Books will also be hosting its monthly interactive dialogue with the experts from Infinite Mindcare. If you haven’t experienced one of these insightful sessions before, stop by on Saturday, June 16 for a discussion on this month’s topic: “Can You Hear Me Now?” Effective & Efficient Communication Skills.

We are also celebrating Father’s Day this month and if you are looking to take Dad for a meal this Father’s Day, consider KARoo’s outdoor BBQ brunch with views of the water on Sunday, June 17. Before brunch gets started, dads can take their toddlers to Cayman Music School for their Daddy & Me Toddler Music Class where they can enjoy playing instruments and have fun making music. If Dad loves to cook, treat him to one of Bon Vivant’s coooking classes, such as French Cuisine with Chef Keith Griffin on June 12 or meat lovers can attend the Carne + Vino with Chef Dylan Benoit where you will learn about cuts and how to find the perfect sauce pairing.

At the end of the month on June 30, will be hosting an exclusive 3D screening of Jean-Michel Cousteau’s Secret Ocean. Take a dive and experience the beauty and diversity of an underwater world few get to encounter. The movie will be followed by a Q&A with Jean-Michel Cousteau himself. Donations of CI$5 or more are encouraged and will benefit Ocean Futures Society and the Central Caribbean Marine Institute (CCMI).
